Our client is a well-established international alternative investment management platform with a strong presence in Luxembourg. Operating in a dynamic and highly regulated environment, the organisation manages a broad range of private market investment structures and offers exposure to complex, cross-border transactions within a collaborative and entrepreneurial culture.
Key responsibilities:
Corporate Governance & Entity Management- Ensure the day-to-day corporate governance of Luxembourg fund vehicles/aggregators.
- Maintain statutory records and corporate registers.
- Monitor signature powers, corporate authorisations and governance documentation.
- Follow up on annual accounts approval processes.
- Coordinate the establishment of Luxembourg fund vehicles and aggregators.
- Draft corporate documentation, including notices, agendas, minutes, proxies and attendance lists.
- Liaise with Compliance, Risk, Finance and Legal teams, as well as external counsel, regarding incorporation and marketing formalities.
- Organise, prepare and coordinate board meetings related to fund closings.
- Prepare notices, agendas, minutes, written resolutions, proxies and attendance lists.
- Collaborate closely with internal legal counsel, finance teams and external advisers.
- Prepare subscription documentation for internal entities.
- Coordinate internal approval and signature processes.
- Manage execution of legal documentation, including notarial deeds where required.
- Coordinate apostille and legalisation processes.
- Maintain and track original documentation.
- Coordinate AML/KYC and onboarding requirements.
- Work closely with Compliance and Operations teams.
- Collect and maintain investor, shareholder and director documentation.
- Review, maintain and archive corporate records.
- Coordinate statutory filings and updates with Luxembourg registers (RCS and RBE/UBO).
- Ensure completeness, audit readiness and timely retrieval of records and official receipts.
- Master's degree in Law (or equivalent).
- Specialisation in corporate/company law would be advantageous.
- Luxembourg legal or fund industry experience is highly desirable.
- Minimum 5 years of experience in:
- Corporate legal functions;
- Regulated financial services;
- Fund or asset management;
- Law firms;
- Corporate services providers; or
- In-house legal departments.
- Fluent French and English, both written and spoken.
- Strong proficiency in Microsoft Office.
- Experience with corporate databases, filing portals and document management systems is an advantage.
- Interest in artificial intelligence and legal technology, with a willingness to explore innovative solutions that improve efficiency, knowledge sharing and compliance.

- Strong attention to detail.
- Proactive, reliable and solution-oriented mindset.
- Ability to manage multiple deadlines effectively.
