Exciting times ahead with my client who is an international law firm that is currently expanding their team in Hong Kong. They are keen to recruit a Associate Funds Lawyer to join their phenomenal team, offering excellent international level salaries.

My client is a leading offshore law firm that specialises in Cayman and BVI law. What we are looking for is an ambitious funds lawyer at Associate to join its established and well-regarded Hong Kong office.

 

To succeed in this role:

You should be a Hong Kong qualified lawyer with approximately 3 years of experience within the investment management space either from private practice or from an asset manager. You should be an individual who is highly commercial and has the ability to work in a team setting. Possessing broad ranging funds experience from dealing with hedge funds, private equity companies and Sovereign Wealth Funds would set the candidate on the right foot in this fast pace environment.

 

The role on hand:

• Advise clients on how to structure new funds
• Assist clients in the preparation of offering materials, the preparation of partnership agreements, advising on and documenting management and compensation arrangements, and closing fund formation transactions.
• Draft the numerous organizational documents necessary to form an investment fund, including a private placement memorandum, a limited partnership agreement (if the fund is a limited partnership) or an operating agreement (if the fund is a limited liability company), and investor subscription agreements.
• Conduct diligence and negotiate contracts.
• Inform and advise clients on the constantly changing regulatory and compliance issues.
• Provide clients with a full suite of support from the fund formation & establishment matters, to the downstream acquisitions & disposals matters as well as regulatory and licensing matters.
